1.0 Introduction, Purpose & Agreement
1.1 Purpose of These Terms
These Affiliate Terms & Conditions (“Terms”) govern your participation in the Balance Affiliate Programme (“Programme”), through which approved partners, influencers, creators, venues, or businesses (“you”, “your”) may promote Balance products using approved affiliate links, codes, and materials.
1.2 Who We Are
The Programme is operated by:

1.3 Agreement to These Terms
By applying to, joining, or participating in the Programme — including promoting Balance products through any code, link, or content — you confirm that you have read, understood, and agree to be bound by these Terms.
1.4 Relationship Between Us
You participate as an independent contractor, not:
•An employee•A partner•A representative•ABalanceClubambassador or staff member (unless expressly authorised)
These Terms do not create a joint venture, franchise, or agency relationship.
1.5 Scope of Programme
The Programme allows affiliates to:
•Share links or codes•Earn commission on qualifying purchases•Use approved Balance content (subject to our rules)
It does not grant:
•Rights tooperateas “Balance”•Rights to promoteBalanceClubmembership•Rights to create Balance-branded merchandise•Rights to use Balance trademarks beyondpermittedpromotional use
These elements will be detailed in the IP section.
2. Becoming an Affiliate
2.1 Application Process
To join the Programme, you must submit an application through our approved system or via invitation.
We reserve the right to:
•Approve or reject any application•Requestadditionalinformation to verify identity, brand fit, or regulatory compliance•Reassess an affiliate at any time
2.2 Eligibility Requirements
To participate you must:
•Be at least 18 years old•Be based in the UK (unless agreed otherwise)•Provideaccuratecontact, payment, and identity details•Notoperatein a sector that conflicts with Balance values (e.g. harmful, misleading, or adult content)•Have a genuine audience or platform suitable for promotion•Agree tocomply withASA/CAP Code, CMA guidance, consumer protection law, and platform rules
2.3 Ongoing Eligibility
We may suspend or remove you from the Programme if:
•Your content or behaviour damages or risks damaging the Balance brand•Youfail tofollow our promotional rules•You misuse your affiliate code or link•You breach advertising, wellness claim, or disclosure rules•You engage in fraud, code abuse, discount manipulation, or misleading activity
2.4 Information You Must Keep Updated
You agree to keep your profile details up to date, including:
•Contact information•Payment or bank details•Social media handles•Business or trading names•VAT status (if applicable)
Failure to do so may prevent commission payments.
3. How the Programme Works
3.1 Affiliate Codes & Links
Each affiliate will receive:
•A unique tracking link•A unique discount or referral code (if approved)•Access to approved Balance promotional materials•Brand Guidelines & permitted content rules
These are for your personal promotional use only and must not be shared on:
•Coupon sites•Discount aggregators•Websites you do not control•Spam channels or mass messaging platforms
3.2 Permitted Promotion Channels
You may promote your link or code through:
•Your social media channels•Your website or blog•Email marketing sent to your own subscribers•In-person promotion (for gyms, venues, events)•Private communities you own or manage
3.3 Prohibited Promotion Channels
You must not:
•Create paid ads targeting “Balance”,“Balance Bottle”,“BalanceClub”,or related trademarks•Bid on Balance-brand keywords on Google, Meta, TikTok, or other ad platforms•Impersonate Balance or any Balance personnel•Use your affiliate code inBalanceClubenvironments or offer it as part of “membership perks”•Create Balance-branded social media pages or groups (unless formally authorised)•Create unofficial customer support, “Balance Ambassadors” groups, or similar communities•Promote via spam, bots, bulk messaging, or deceptive practices
3.4 Representation of the Brand
You must present the Balance brand accurately.
You must not:
•Suggest yourepresent, work for, or are endorsed by Balance•Claim to be an officialBalanceClubpartner, coach, or representative•Offer unapproved promotions, giveaways, or competitions using Balance products•Create your own Balance branding, graphics, logos, or merchandise
3.5 Compliance with Law & Advertising Standards
You must comply with:
•ASA/CAP Code•CMA guidance on influencer marketing and consumer protection•Advertising regulations for wellness, supplements, and hydration products•Platform rules (Instagram, TikTok, Facebook, YouTube, etc.)
You must clearly disclose affiliate activity using accepted labels such as:
•#ad•#affiliate•#gifted(where applicable)•Paid partnership with @beinbalance(if approved)
3.6 Wellness & Health Claim Rules
You must not make medical, therapeutic, or unapproved claims regarding Balance products, including:
•Claims relating to treatment or cure•Claims of health transformations•Detoxification, repair, or medical impact claims•Weight loss guarantees•Any statement prohibited under food/supplement claim legislation
Exact wording restrictions will be added in the Health Claims section.
4. Trademark, Brand Use & Intellectual Property Protection
4.1 Our Intellectual Property
All rights in and relating to the following (“Balance IP”) are owned exclusively by Wellbeing Places Limited:
•The trademarks “BALANCE”,“BALANCE BOTTLE”,“BALANCE CLUB”,“BALANCE NUTRITION”,“BALANCE HYDRATION”,and any future registered marks•Logos, icons, brand elements, colourways, packaging designs, and trade dress•Product photography, videos, and campaign imagery•Website designs, copy, and digital layouts•BalanceClubcontent, magazine materials, articles, workouts, recipes, and member resources•Marketing materials created by F-Stop or Balance partners•Promotional assets provided to affiliates•All graphics, animations, digital assets, and printed materials
Nothing in these Terms transfers ownership of any Balance IP to you.
4.2 Limited Licence to Use Balance IP
Subject to your full compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, limited licence to use approved Balance IP solely for:
•Promoting Balance products•Sharing your affiliate code or link•Creating content that features Balance products•Using our approved promotional materials
This licence:
•Doesnotallow you to create your own Balance branding•Doesnotallow you to edit or alter logos•Doesnotallow you to create merchandise, apparel, stickers, or printed goods•Doesnotgrant any rights toBalanceClubbranding or materials
We may revoke this licence at any time if we believe our brand is being misused.
4.3 Prohibited Uses of Balance IP
You must not:
•Use “Balance”,“Balance Club”,or related marks in your username, page name, handle, or business name(e.g., @BalanceUK, @BalanceClubManchester, @BalanceOfficial)•Register any domaincontainingthe word “Balance” or similar variations•Create Balance-branded merchandise, clothing, stickers, water bottles, shakers, accessories, or packaging•Imply that yourepresentBalance orBalanceClub•Alter, distort, or recolour the Balance logo•Use product images in a misleading way•Create your own promotional materials using unapproved graphics•Use brand assets in political, controversial, harmful, or adult content•Sell or distribute Balance products without written permission
Violations will result in immediate termination and may result in legal enforcement.
4.4 BalanceClub Brand Protection
Affiliates are strictly prohibited from using, referencing, or implying access to the BalanceClub membership brand in any way unless explicitly authorised.
You must not:
•Use theBalanceClubname, logo, icons, or graphics•Suggest that people can “joinBalanceClub” via your code•OfferBalanceClubperks(discounts,early access, giveaways, loyalty points)•Create content that imitatesBalanceClub'slook and feel•Reproduce or shareBalanceClubarticles, workouts, videos, recipes, or digital magazine content•Claim to be aBalanceClubpartner, coach, ambassador, or representative unless formally appointed
This ensures BalanceClub integrity, member exclusivity, and future trademark protection.
4.5 Ownership of Affiliate Content
You retain ownership of your own original content (“Affiliate Content”).
However, by participating in the Programme, you grant Balance a royalty-free, worldwide, perpetual licence to:
•Repost•Share•Feature•Edit (lightly, e.g., cropping)•Use your content in marketing and promotional material
We will always credit you where possible.
4.6 Reporting Infringements
If you become aware of misuse of the Balance brand or trademark by another person or organisation, please report it to:
We may take enforcement action at our discretion.
4.7 Right to Remove Content
We may request that you remove, edit, or update any content that:
•Misuses Balance IP•Containsinaccuracies about Balance products•Includes unapproved health claims•Dilutes the Balance orBalanceClubbrand•Impersonates the brand•Creates reputational risk
Failure to comply may result in suspension from the Programme.
5. Wellness, Health & Nutrition Claims (Strict Rules)
5.1 No Medical or Therapeutic Claims
You must not make any claims that state or imply that Balance products:
•Treat, cure, prevent, or diagnose any illness or condition•Assistwith depression, anxiety, chronic fatigue, or pain•Replace medical advice or medication•Detox, repair, regenerate, or “cleanse” the body•Provide guaranteed physical or mental health improvements
These claims are illegal under UK food and supplement regulations and ASA/CAP rules.
5.2 Only Approved Claims May Be Used
Any statement about Balance products must be:
•Factually correct•Accurate and not exaggerated•Consistent with language we have approved•Derived from our official product descriptions or FAQs
If you are unsure whether a claim is allowed, you must ask us before posting.
5.3 Specific Instagram/TikTok/YouTube Restrictions
You must not create content that:
•Shows Balance products being used in unsafe ways•Displays before/after photos implying health transformation•Implies weight loss or body changes from electrolyte use•Shows misleading comparisons (“better than hydration tablets”,etc.)
Platforms may ban or restrict your account for violations — and so may we.
6. Advertising Standards (ASA/CAP Code Compliance)
All affiliate promotions must comply with:
•TheASA/CAP Code•TheCMA influencer marketing guidance•TheConsumer Protection from Unfair Trading Regulations 2008
This means:
6.1 Clear disclosure is mandatory.
Your posts must include one of the following, visibly and unambiguously:
•#ad•#advert•#advertisement•#affiliate•Paid partnership with @balanceclubuk(if activated)
Hidden or ambiguous disclosures like #sp, #spon, collab, or burying tags at the end of posts are not allowed.
6.2 Disclosure must appear at the start of captions
You must not:
•Hide disclosure after line breaks•Place disclosure in comments•Use faint fonts, tiny text, or disappearing Stories tags•Use ambiguous or playful language instead of proper disclosure
6.3 If you receive free products
If any Balance item (electrolytes, bottles, clothing, etc.) was:
•gifted•discounted for you•sent as PR•provided as part of the Programme
You must disclose this in your content using:
•#gifted•Gifted product from @balanceclubuk•PR product
This is required even if you do not earn commission.
7. Influencer, Ambassador & Creator Conduct
7.1 Honesty and Transparency
You may only:
•Share genuinepersonal experiences•Reflect actual product use•Provideaccuratedescriptions
You must not:
•False-testimonial or invent experiences•Use misleading visuals or filters that misrepresent the product•Misstate product features or performance
7.2 No Pressure Selling or Manipulative Techniques
The following behaviour is prohibited:
•Suggesting limited stock if not true•Pressuring followers (“you must buy now”)•Implying urgency that does not exist•Suggesting Balance is medically necessary•Suggesting products are “doctor approved”
7.3 No Targeting Vulnerable Groups
You must not target:
•Minors•Individuals with mental health vulnerabilities•Individuals experiencing medical issues•Those susceptible to health misinformation
Your content should support Balance’s brand values: wellbeing, clarity, safety, honesty, and empowerment.
8. Compliance With Platform Policies
You must follow all advertising rules set by:
•Instagram•TikTok•Facebook•YouTube•Snapchat•Google•Any platform on which you share your link or code
Violations that lead to content removal, shadow-banning, or account restrictions may result in suspension from the Programme.
9. Legal Compliance (CMA & Consumer Protection Law)
You must comply with:
•TheConsumer Protection from Unfair Trading Regulations 2008•TheCMA’s Influencer Marketing Code of Conduct•All applicable e-commerce and advertising laws
This includes:
•Not misleading consumers•Not hiding material information•Not making unverifiable statements•Not representing yourself as an employee or official representative of Balance•Not implying endorsements thatdon’texist
If you breach these requirements, we may:
•Issue warnings•Require content removal•Suspend your affiliate activity•Terminate your accountimmediately
10. Commission Structure
10.1 Commission Rate
Your commission rate will be stated in your acceptance email or Programme dashboard (e.g., 10% of eligible sales).
We may offer different rates for:
•Creators•Gyms/venues•Events•Special campaigns
10.2 What Commission Is Paid On
Commission is earned on:
•Valid sales generated using your unique affiliate link•Valid sales using your approved affiliate code•First-time purchases only (unless agreed otherwise)
Commission is calculated on the order subtotal, excluding:
•VAT•Delivery charges•Returns•Refunds•Subscription renewals•Pre-order deposits
11. Non-Qualifying Sales (No Commission)
You will not earn commission on:
•Your own purchases orpurchasesfor family/friends•Orders refunded, cancelled, or charged back•Orders using unapproved discount codes•Subscription renewals(unless we formally activate a subscription commission model)•BalanceClubmembership fees•Balance Bottle pre-orders(unless individually authorised)•Wholesale or corporate orders•Venue resale margins•Orders from coupon/discount sites•Orders with heavy discount stacking, misuse, or manipulation•Fraudulent or suspicious transactions
We reserve the right to decide whether a sale qualifies.
12. Payout Schedule
12.1 Payment Timing
Commission is paid monthly, 30 days in arrears, to allow time for:
•Refunds•Chargebacks•Order investigations
12.2 Minimum Threshold
A minimum of £20 must be accrued before a payout is made unless otherwise agreed.
12.3 Payment Method
Payments will be made via:
•UK bank transfer•PayPal•Another agreed method
You must ensure your payment details are accurate and up to date.
13. Code Misuse & Discount Abuse
13.1 Strict Code Control
Your affiliate code is for genuine followers, customers, and your own platform audience.
You must not:
•Share your code on discount/coupon websites•Allow it to be posted on mass-promo forums•Send it via spam or unsolicited bulk messages•Use it in paid ads (Google/Facebook/TikTok etc.)•Use it withinBalanceClubcommunities or events•Encourage others to share it improperly•Create fake accounts to apply your own code
13.2 Discount Stacking
Your affiliate code must not be combined with:
•Pre-order pricing•Subscription discounts (“Subscribe & Save”)•Other promotional codes•Staff discounts•Bulk purchase offers•Event-only pricing
We may remove commission for any sale where discount stacking occurs.
13.3 Excessive Personal Use
If we identify patterns suggesting:
•Personal bulk-buying•Redistribution or reselling•Using the code for your own purchases
We may suspend or terminate your account.
14. Fraud Prevention & Clawback Rights
14.1 Fraud Monitoring
We monitor affiliate activity for:
•Unusual traffic spikes•High reversal/refund rates•Multiple transactions from the same IP address•Code misuse•Manipulated use of discounts•Bots or automated purchasing•Suspected artificial inflation of sales
14.2 Right to Withhold Commission
We may withhold payment if:
•An order appears fraudulent•We are investigating suspicious activity•Your conduct breaches these Terms•Payments fail or refund rates rise significantly
14.3 Right to Claw Back Commission
If commission has been paid on:
•Orders later refunded•Chargebacks•Cancelled orders•Fraudulent sales•Sales generated in breach of programme rules
We may deduct the overpaid amount from future commissions or require repayment within 14 days.
14.4 Right to Suspend or Remove
We may suspend, refuse payout, or terminate your participation if we reasonably believe you have:
•Manipulated the Programme•Breached these Terms•Brought the Balance brand into disrepute•Repeatedly triggered fraud flags•Ignored warnings about misuse
15. Wholesale, Venue & Partner Sales
15.1 Wholesale Exclusion
Commission is not paid on wholesale, venue, or corporate orders.
15.2 Venue Resale
Gyms, clubs, studios, or venues promoting Balance:
•Cannot use affiliate codes for stock purchases•Only earn commission on standard consumer purchases•Must adhere to brand guidelines and POS rules•Must not imply they are “BalanceClubcertified” unless authorised
15.3 Events & Pop-Ups
Sales made at events run by Balance or its partners do not qualify for affiliate commission unless expressly stated.
16. Suspension of Programme Access
16.1 Immediate Suspension
We may temporarily suspend your ability to use the Programme, or withhold commission payments, if we reasonably believe that:
•Your conduct breaches these Terms•You are misusing discount codes or links•Fraudulent or suspicious activity has been detected•Your content breaches ASA/CAP,CMAor health-claim rules•You are creating reputational risk for the Balance brand•We are carrying out an investigation
Suspension is a protective measure, not a final decision.
16.2 Notice of Suspension
Where possible, we will notify you by email or via your affiliate dashboard.
However, we may suspend immediately and without notice in cases involving:
•IP infringement•Health/medical misinformation•Fraud risk•Impersonation•Criminal activity
16.3 During Suspension
While suspended you may not:
•Use your affiliate code or link•Promote yourself as a Balance partner•Create Balance-branded content•Earn commission•Access the Programme dashboard (where applicable)
17. Termination by Balance
17.1 We may terminate your participation immediately without prior notice if:
You:
•Breach any part of these Terms•Make health or medical claims about Balance products•Misuse or infringe Balance trademarks or brand assets•Impersonate or misrepresent your relationship with Balance orBalanceClub•Engage in fraudulent, misleading, or manipulative conduct•Share codes on coupon or mass-discount platforms•Use spam, bots, paid ads, or prohibited promotional channels•Risk damage to Balance’s reputation, relationships, or customers•Promote harmful, unsafe, unlawful, or discriminatory content•Repeatedly ignore guidance or warnings from Balance•Promote Balance products alongside controversial, unsafe, or adult content
These behaviours justify instant removal.
17.2 Termination for Business or Operational Reasons
We may also terminate the Programme, or your participation in it, for:
•Commercial changes•Strategic brand changes•Closure of the Programme•Legal or regulatory changes
Where possible, we will give reasonable notice.
17.3 Effect of Termination
Upon termination:
•Your affiliate link and code will be disabled•Pending commissions may be withheld if they relate to:oFraudoMisuseoMargin abuseoBreaches of these Terms•Valid commission (not linked to breaches) will still be paid•You mustimmediatelycease all promotional use of the Balance brand
18. Termination by You
You may leave the Programme at any time by emailing:
Upon receipt:
•Your affiliate account will be closed•Your code and link will be disabled•Any eligible commission will be paid in the next cycle•You must stop using Balance brand assets
19. Post-Termination Obligations
19.1 Stopping Use of Balance IP
Upon suspension or termination you must:
•Remove Balance logos, graphics, and branded materials•Delete content that uses protected branding upon request•Stop using any Balance orBalanceClubnames, marks, or assets•Immediately stop sharing affiliate links or codes•Remove claims of partnership, affiliation, or brand relationship
19.2 Content Containing Balance Products
•You may keep past content featuring Balance productsif the brand assets are not misused,BUT•We mayrequireremoval if:oThe content causes brand riskoYou breached these TermsoLegal compliance issues arise (e.g., health claims)
19.3 Return of Materials
If you have received printed POS, signage, or promotional displays, you must return or destroy these if instructed.
19.4 No Compensation for Termination
You will not be entitled to:
•Compensation•Damages•Loss-of-income payments•Goodwill value•Future earnings
The Programme is discretionary and may be changed or ended at any time.
20. Survival of Certain Terms After Termination
The following sections continue to apply even after termination:
•Intellectual Property & Trademark Restrictions•Health Claims and Advertising Compliance•Code Misuse•Fraud Prevention & Clawback•Limitation of Liability•Governing Law
Your responsibilities in these areas do not end when you leave the Programme.
21. Limitation of Liability
21.1 General Position
To the fullest extent permitted by law, Wellbeing Places Ltd (“Balance”) is not liable for:
•Loss of earnings, profits, or revenue•Loss of data, content, or business opportunities•Reputational harm•Indirect, incidental, or consequential losses•Platform restrictions (Instagram/TikTok/YouTube etc.)•Losses resulting from your breach of these Terms•Losses arising from the actions or omissions of third parties•Any failure of tracking systems or affiliate technology outside our control
The Programme is offered on a discretionary basis and may change at any time.
21.2 We Are Responsible For
Nothing in these Terms limits or excludes liability for:
•Death or personal injury caused by negligence•Fraud or fraudulent misrepresentation•Any rights you cannot waive under English law
21.3 No Guarantee of Earnings
Balance does not guarantee:
•Sales•Commission levels•Traffic•Audience engagement•Future participation•Continued operation of the Programme
Your success depends on your own activity, content quality, and audience engagement.
22. Disclaimer of Warranties
22.1
The Programme, affiliate dashboard, links, codes, tracking, and promotional tools are provided “as is” with no warranties or guarantees of continuous availability.
22.2
We may modify, pause, or discontinue any aspect of the Programme at any time, with or without notice.
22.3
We do not guarantee that:
•Tracking will be uninterrupted or error-free•Codes will always function in all browsers/platforms•Affiliate materials are free of errors•Websites or email systems willbe available at all times
Where errors occur, we will take reasonable steps to resolve them.
23. Governing Law & Jurisdiction
23.1
These Affiliate Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
23.2
Any dispute or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
23.3
If you are a UK consumer, you may also be entitled to bring proceedings in your local jurisdiction under consumer protection law.
24. Data Protection & Privacy
24.1
We process personal data in accordance with our:
•Privacy Policy•Cookie Policy•Data Rights & Erasure Policy
(As published on the Balance website.)
24.2
Affiliates must not:
•Collect customer personal data•Store or process customer information•Send marketing messages to customers who did not give consent•Misuse data obtained through affiliate activities
Any breach will result in immediate termination.
25. Notices & Communication
25.1 Notices from Us
We may provide notices via:
•Email•Affiliate dashboard•Website updates•Direct message (for urgent brand protection issues)
25.2 How You Notify Us
All affiliate programme enquiries should be sent to:

You must keep your contact email and payment details up to date.
26. Entire Agreement
These Terms constitute the entire agreement between you and Wellbeing Places Ltd in relation to participation in the Affiliate Programme.
They replace any previous:
•Agreements•Understandings•Discussions•Arrangements
Any variation of these Terms must be in writing and authorised by Balance.
27. Severability
If any part of these Terms is found to be unlawful, invalid, or unenforceable, the remaining sections shall continue in full force and effect.
28. No Waiver
Failure by Balance to enforce any right or clause within these Terms does not constitute a waiver of such rights.
29. Version & Effective Date

The latest version of these Terms will always be available on the Balance website.
