SECTION 1 — Introduction
& Definitions.

 

1.1 Who we are

These Subscription Terms (“Terms”) apply to your membership
with BalanceClub, a wellness and lifestyle subscription service operated
by Wellbeing Places Limited (company number 11342583). Our registered office is
5/6 Salmon Fields Business Village, Royton, Oldham, England, OL2 6HT.

For clarity, “Balance” and
“BalanceClub” are trading styles of Wellbeing Places Limited.

Throughout these Terms, “Balance”, “we”, “us” and “our” refer to Wellbeing
Places Limited, and “you” or “your” refer to the individual accessing or using
the Subscription Service.

 

1.2 What these Terms cover



These Terms explain the rules for:

•       your use of
the BalanceClub website and member portal.

•       your monthly subscription and
any recurring payments;

•       access to digital wellbeing
content, resources, discounts and loyalty benefits;

•       entry to Balance-hosted events
and monthly giveaways;

•       the conditions under which your
membership may be amended, suspended or cancelled.

•       Please read these Terms
carefully. By creating an account, subscribing, or using any part of
the BalanceClub membership, you confirm that you accept these Terms.

 

1.3 Eligibility

To join BalanceClub you must:

•       be at least 18 years old.

•       reside in the
United Kingdom.

•       create an account using accurate
and up to date information;

•       agree to these Terms and our
Privacy Policy.

•       The Subscription Service is
intended for personal well-being use only. If you wish to use the service for business
or commercial purposes, you must obtain our written consent.

 

1.4 Changes to these Terms

We may update or amend these Terms from time to time. When we do:

•       we will post the updated version
on our website; and

•       if the change is material (including
pricing changes), we will provide at least 30 days’ notice by email or via your
online account.

•       If you continue to use the
Subscription Service after the effective date of any changes, you are deemed to
have accepted the updated Terms.

•       If you do not agree to the
updated Terms, you may cancel your subscription before the changes take effect.

 

1.5 Other documents that apply

These Terms should be read alongside:

•       our Privacy Policy, which
explains how we use your personal data;

•       our Cookies Notice, describing
how cookies operate on our site;

•       any event-specific terms
displayed at the point of booking or check-in;

•       any promotional rules applying
to giveaways or competitions.

 

1.6 Definitions

For ease of reference, the following definitions apply throughout these Terms:

•       “Subscription” means your
monthly paid membership to BalanceClub.

•       “Member Content” means any
reviews, feedback, or submissions you provide.

•       “Digital Content” means
workouts, nutrition guides, wellness resources, videos, articles or tools
provided as part of your subscription.

•       “Events” means Balance-hosted or
Balance-affiliated workshops, classes, sessions or gatherings that Members may
attend.

•       “Giveaways” means monthly prize
draws or experiences offered to eligible Members.

•       “Loyalty Points” means points
added to your account as part of your subscription benefits.

•       “Platform” means the Balance
website, member portal, and any related digital systems used to deliver your
subscription.

 

SECTION 2 —
The BalanceClub Subscription Service.

2.1 Overview of the Subscription
Service



BalanceClub is a monthly
digital wellbeing membership designed to support a healthier, more balanced
lifestyle. Your subscription provides access to exclusive digital content,
loyalty rewards, members-only benefits, giveaways, and priority access to
Balance-hosted events.

Your subscription is personal to
you and may not be shared, transferred or used by any other individual.

 

A. Loyalty Points & Rewards

2.2 Monthly Loyalty Points

As an active subscriber, you may receive loyalty points which added to your
Balance account every month. These points are provided as a membership benefit
and may be used only as described in your account dashboard

 

2.3 Birthday Points



You may also receive an annual allocation of birthday points if you have
provided your date of birth in your account profile.

 

2.4 No Cash Value



Loyalty points:

•       cannot be exchanged
for cash.

•       cannot be transferred to
other users.

•       may be amended, suspended or
withdrawn at our discretion.

•       will expire if your subscription
ends or your account is closed.

•       We may amend the loyalty
programme from time to time. Any significant changes will be communicated with
reasonable notice.

 

B. Digital Content & Member
Resources

 

2.5 Digital Content Included

Your subscription may include access to a growing library of digital wellbeing
content (“Digital Content”), including:

 

•       guided workout content created
by qualified PTs;

•       nutrition information and
educational content from nutritionists;

•       wellness guidance, articles and
seasonal content updates;

•       other resources added from time
to time.

 

This content is provided for
general wellbeing and lifestyle purposes only and is not medical advice.

 

2.6 Content Availability

We may update, change, replace or remove Digital Content at any time to improve
the overall service. We will ensure that such changes do not materially reduce
the core value of your membership.

 

C. Member Discounts & Early
Access

 

2.7 Exclusive Member Benefits



As a BalanceClub Member, you may receive:

•       member-only discounts on
selected products.

•       early access to limited edition
items, promotions or events.

•       personalised offers based on
your membership activity.

•       These benefits may vary over
time and are subject to availability.

 

D. Events & QR Code Check-In

2.8 Member Access to Events



Your subscription grants access
to selected Balance-hosted or Balance-affiliated events, workshops and sessions
(“Events”), subject to availability and any event-specific terms.

Some events may require
pre-booking, capacity limits or additional eligibility criteria.

 

2.9 QR Code Check-In



When attending an event, you
will be required to:

• present your unique
Balance QR code, and

• confirm your acceptance
of the Event Terms & Conditions at the point of check-in.

Your QR code is unique to you
and must not be shared with others. Misuse may result in suspension or
cancellation of your membership.

2.10 Event Changes

We may change, reschedule or cancel Events due to operational, safety or venue-related
requirements. If we cancel an event, we will notify Members as soon as
reasonably possible.

 

E. Monthly Giveaways

2.11 How Giveaways Work



Members may be eligible to enter our monthly wellness experience giveaway,
which may include:

•       fitness or
wellbeing classes.

•       padel or sports bookings.

•       dining or
lifestyle experiences.

•       hotel stays.

• other wellness-focused
rewards.

 

2.12 Entry Requirements

To be entered into the monthly giveaway draw, you may be required to:

• log in to your account;
and

• complete an activity such
as feedback, a review or a short submission (“Member Content”),

before the monthly cut-off date.

No purchase is necessary beyond
your existing subscription.

2.13 Prize Fulfilment

•       Winners will be selected at
random from eligible entries.

•       Prizes are typically provided in
the form of a gift card or digital voucher from one of our partnered vendors.

•       There is no cash alternative.

Giveaways are subject to
separate promotional rules, which we will publish or link to each month.

 

F. Pricing & Changes to the
Service

 

2.14 Current Pricing



The current subscription price is £6.99 per month, per user.

This price is subject to change in accordance with clause 2.16.

 

2.15 What the Subscription Fee
Covers

Your monthly fee covers:

• access to the Digital
Content library;

• monthly loyalty points.

• birthday points.

• eligibility for
monthly giveaways.

• member discounts and
early access benefits.

• access to selected Events.

•       operation and maintenance of
your BalanceClub account.

 

2.16 Price Changes

We may update the subscription price from time to time.

If we do:

•       we will provide you with at
least 30 days’ notice;

•       the new price will apply from
your next billing date after that notice period.

•       If you do not agree to the new
price, you may cancel your subscription before the change takes effect.

 

G. Service Amendments

2.17 Adjustments to the
Subscription Service



We may modify
the BalanceClub service from time to time to:

• improve the overall experience.

• add or remove features.

• comply with legal or
regulatory changes.

• update the Digital
Content library.

Any change will be communicated
in a fair and proportionate way, and we will not make changes that materially
reduce the core value of your subscription without reasonable notice.

 

 

SECTION 3 — Billing
& Payments.

 

3.1 Monthly Subscription Fee

Your BalanceClub subscription is billed on a monthly recurring basis.
By subscribing, you authorise us—and our chosen subscription billing
provider—to automatically charge your selected payment method every month until
you cancel.

The current subscription price
is £6.99 per month, per user (subject to change under clause 3.13).

 

A. Payment Processing

 

3.2 Payment Method

You must provide a valid payment method (such as a debit or credit card) when
subscribing.

All payments are securely processed through our third-party subscription
provider (e.g., Recharge, Appstle or similar), acting on our behalf.

 

3.3 Payment Authorisation

By subscribing, you confirm that you:

• are authorised to use the
payment method provided.

• authorise recurring
monthly charges until cancellation.

• understand that failure
to maintain valid payment details may result in suspension of your membership.

 

3.4 Payment Currency

All charges are made in GBP (£).

 

B. Billing Dates & Renewal

 

3.5 Renewal Cycle

Your subscription renews automatically every month on the billing date shown in
your account.

You will continue to be billed unless and until you cancel in accordance with
clause 3.10.

 

3.6 Billing Date Changes

Your billing date may shift if:

• your payment method fails.

• The subscription provider
retries payment.

• A billing cycle shorter
or longer than 30 days occurs for operational reasons.

Any adjustments will be shown in
your account dashboard.

 

C. Failed or Missed Payments

 

3.7 Failed Payments

If a payment attempt fails, the subscription provider may:

•       automatically retry
the payment;

•       notify you via email;

•       request that you update your
payment method.

 

3.8 Suspension for Non-Payment



If payment remains unsuccessful
after multiple retries, we may:

•       suspend access to
Digital Content;

•       deactivate your loyalty
points accrual;

•       prevent event bookings;

•       pause your entry into giveaways.

•        

Once payment is successfully processed,
access may be reinstated.

 

3.9 Cancellation for Continued
Non-Payment

If payment remains outstanding beyond a reasonable period, we may cancel your
subscription.

Any accrued points, benefits or entries will be lost.

 

D. Cancellations &
Cooling-Off

 

3.10 How to Cancel

You may cancel your subscription at any time via your
online BalanceClub account.

Upon cancellation:

• your access continues
until the end of your current billing period.

• No further payments will
be taken.

• Loyalty points accrued
will expire at the end of the billing period.

• Access to Digital Content
and Events will end when your membership ends.

 

3.11 Cooling-Off Period (14
Days)



Under UK consumer law, you have
a 14-day cooling-off period from the date you first subscribe.

However, by accessing or
downloading any Digital Content during this period, you expressly consent to
immediate supply and agree that your right to cancel without charge is waived.

If you have not accessed any
Digital Content and you cancel within the 14-day period, you will receive a
full refund.

 

3.12 Refunds

We do not offer refunds for:

•       partial months;

•       unused benefits;

•       unused loyalty points;

•       failure to attend an event once
booked (unless statutory rights apply).

Refunds may be provided where
required by law or in exceptional circumstances at our discretion.

 

E. Price Changes

 

3.13 Price Adjustments

We may update subscription pricing from time to time.

If we do:

•       We will give you at least 30
days’ notice.

•       The new price will apply from your
next renewal date after the notice period.

 

If you do not agree to a new
price, you may cancel before the change takes effect.

 

F. Account Information &
Updates

 

3.14 Accurate Information

You must ensure your account details including your email address and
payment information—remain accurate and up to date.

 

3.15 Invoices & Receipts



Invoices or receipts for subscription payments will be sent to the email
address associated with your account.

 

3.16 One Subscription Per Person

Each subscription is individual.

Sharing login credentials or using another person’s account is prohibited and
may result in cancellation.

 

G. Fraud & Misuse

 

3.17 Fraudulent Activity

We reserve the right to suspend or cancel your subscription immediately if we
detect or reasonably suspect:

 

• fraudulent payment activity.

• misuse of
membership benefits.

• sharing of accounts or
QR codes.

• attempts to exploit giveaways.

• attempted reversal or
chargeback without a valid cause.

 

SECTION 4 — Your Account.

 

4.1 Creating Your Account



To use BalanceClub, you must create an account using accurate, complete
and up-to-date information. You agree to update your details if they change,
including your name, contact information and payment method.

By creating an account, you
confirm that you meet the eligibility criteria in Section 1.

 

A. Eligibility & Personal
Use Only

 

4.2 Age Requirement

BalanceClub is available only to individuals aged 18 or over.

 

4.3 UK Residents Only

The service is intended for UK-based members. You must reside in the United
Kingdom to subscribe.

 

4.4 Personal Use Only

Your account is for your personal, individual use.

You must not:

• allow anyone else to use
your login.

• Share your membership
benefits with others.

• transfer your account or
subscription to another person.

• Use the account for
commercial or business purposes.

A breach of this clause may
result in immediate suspension or cancellation of the account.

 

B. Account Security

 

4.5 Protecting Your Login
Details



You are responsible for keeping your login details secure, including your
password and any authentication methods.

 

You must not:

• share your password
with anyone.

• allow others to access
your account.

• use another person’s
account or QR code.

 

4.6 Notification of Unauthorised
Use

If you suspect that your account, password or QR code has been compromised, you
must notify us immediately at support@beinbalance.uk (or the email we specify on your account
dashboard).

We may temporarily disable
access while we investigate.

 

C. QR Codes and Identity Checks

 

4.7 Unique QR Code



Your event QR code is unique to
you.

It functions as your digital membership pass and confirms your agreement to any
event-specific terms at the point of check-in.

Misuse—such as sharing
screenshots or lending the code to others—may result in:

• blocked event access,

• cancellation of your
membership,

• removal of loyalty
points,

• exclusion from giveaways.

 

D. Account Misuse &
Prohibited Activity

 

4.8 Prohibited Behaviour

You must not use your account or the BalanceClub platform to:

• impersonate
another person;

• access content you have
not paid for;

• bypass or attempt to
bypass security features;

• download, screen-record,
copy or redistribute Digital Content;

• interfere with the
experience of other Members;

• post or submit harmful,
abusive, defamatory or unlawful content;

• attempt to reverse
engineer or interfere with system functionality.

 

 

4.9 Monitoring & Enforcement

We may monitor account activity to ensure compliance with these Terms.

We reserve the right to remove
content, suspend accounts or take further action if necessary to protect other
users and the integrity of the BalanceClub platform.

 

E. Suspension or Termination by
Us

 

4.10 Grounds for Suspension



We may suspend or restrict your account immediately if we reasonably believe
that:

• your payment has failed.

• your account is compromised.

• you have breached
these Terms.

• you have misused
membership benefits.

• you have engaged in
fraudulent activity.

• you have behaved
inappropriately at an Event.

4.11 Grounds for Termination



We may terminate your account entirely if:

• breaches continue after
a warning.

• serious misuse is identified.

• fraudulent or abusive
conduct is proven.

• your conduct presents a
risk to staff, other Members or partner venues.

 

If we terminate your account for
misuse:

• your subscription ends
immediately,

• loyalty points are lost,

• giveaway entries are
void,

• access to the Digital
Content library stops.

No refunds are provided for
periods already billed unless required by law.

 

F. Closing Your Account

 

4.12 Voluntary Closure

You may close your account at any time.

Closing your account will automatically cancel your subscription at the end of
the current billing period.

 

Once your account is closed:

• your access to Digital
Content ends;

• loyalty
points expire;

• event access and giveaway
eligibility ends;

• your data will be handled
in accordance with our Privacy Policy.

 

SECTION 5 — Digital Content
& Intellectual Property .

5.1 Ownership of Digital Content

All Digital Content provided through BalanceClub—including workouts,
videos, written guides, recipes, nutrition information, articles, graphics,
audio, images, event materials, and all other resources—is owned by Wellbeing
Places Limited, our licensors, or our content partners (such as PTs,
nutritionists and wellness creators).

Digital Content is protected by
copyright, design rights, trade mark laws and all applicable
intellectual property laws.

All rights are reserved.

 

A. Your Licence to Use the
Digital Content

5.2 Personal, Limited Licence

When you subscribe, we grant you a personal, non-exclusive, non-transferable,
revocable licence to access and use the Digital Content for your own private,
non-commercial use only.

This licence allows you to:

• view Digital Content via
your Member account;

• stream
workout videos;

• access
wellness resources;

• download permitted
materials (where explicitly offered).

You do not own the Digital
Content and your access ends if your subscription ends.

 

B. Restrictions on Use

5.3 You must not:

•       Copy or share content

•       download, save or screenshot
protected materials unless the platform explicitly allows downloads;

•       repost or redistribute Digital
Content on social media or any website;

•       record your screen while viewing
workouts or resources;

•       share videos, PDFs, audio files
or guides with others;

•       publish or send Digital Content
to third parties.

 

Train or feed any AI

You must not use
any BalanceClub content—including text, workouts, videos, images,
nutrition guides or feedback—to train, develop, or improve any AI system,
machine learning model, LLM or automated tool.

Exploit content commercially

 

You must not:

• use any Digital Content
in a business or commercial setting;

• use our resources to
train clients, customers or classes;

• charge others
for access;

• create derivative works
based on Balance content.

Manipulate or access content improperly

You must not:

• scrape, crawl or
harvest content;

• bypass
technical restrictions;

• attempt to download
content not intended for download;

• access content through
unofficial or automated tools.

A breach of these restrictions
may result in immediate termination under Section 4.

 

C. Brand and Trade
Mark Protection

5.4 Brand Rights



“Balance”, “BalanceClub”, our logos, event names, and any other branding
or trademarks appearing in the Subscription Service are the property
of Wellbeing Places Limited.

You must not use our trademarks,
brand names or visual identity without explicit written permission.

 

D. Content Accuracy &
Updates

 

5.5 Accuracy of Content

We take reasonable care to ensure that Digital Content is accurate and up to
date, but we do not guarantee that:

• All information is
scientifically complete.

• All workouts or nutrition
content suit every individual.

• content will always be
available without interruption.

5.6 Updates and Modifications



We may replace, update or remove
Digital Content from time to time to:

• improve the service,

• maintain quality,

• introduce new creators or
partners, or

• comply with professional
guidance or law.

You will not be entitled to
compensation for changes to Digital Content unless required by law.

 

E. Fitness & Nutrition
Disclaimer

5.7 Wellness Content Is Not
Medical Advice



Digital Content provided
by BalanceClub is for general wellbeing and lifestyle information
only.

It is not:

• personalised medical
advice,

• professional diagnosis,

• physiotherapy guidance,

• clinical nutrition
support.

 

You should consult a GP or
qualified professional before beginning any new exercise or nutrition plan,
particularly if you have medical conditions, injuries, allergies or other
restrictions.

 

5.8 Your Responsibility for Safe
Use

By accessing Digital Content, you confirm that:

• you are fit to
participate safely in wellness and fitness activities;

• you will stop exercising immediately
if you feel pain, dizziness or discomfort;

• you understand that all
exercise and health actions you take are at your own risk.

We accept no liability for
injuries or issues arising from misuse of Digital Content, except where
required by law.

 

F. User-Generated Content

 

5.9 Ownership of Your Content



You retain ownership of any Member Content you submit (such as feedback or
reviews).

However, by submitting it, you grant us a royalty-free, worldwide, transferable
licence to use it for:

• service improvement.

• promotions.

• giveaways.

• marketing.

• analytics.

You confirm that your Member
Content does not infringe any third-party rights.

 

G. Termination of Access

5.10 End of Licence



Your right to access Digital
Content ends when:

• your subscription
is cancelled;

• your account
is terminated;

• we withdraw or
replace content;

• you breach these Terms.

 

Downloading, sharing, or
retaining Digital Content after termination is prohibited.

 

SECTION 6 — Acceptable Use
& Conduct.

BalanceClub is designed to
be a positive, respectful and safe environment—both online and at in-person
Events. To protect our community, our staff, our partners and our members,
the following standards apply.

 

A. General Conduct Expectations

 

6.1 Respect and Safety



You must behave
respectfully and responsibly at all times when using the Subscription
Service or attending any Balance event. You must not engage in conduct that:

• harasses, threatens or
intimidates staff, Members or partners.

• is abusive, aggressive
or discriminatory.

• creates an unsafe
environment for others.

• disrupts Events or
interferes with other Members’ enjoyment of the service.

 

We reserve the right to deny
entry to Events or suspend your membership immediately if necessary to protect
others.

 

B. Online Conduct

 

6.2 Prohibited Online Behaviour



When using
the BalanceClub platform, submitting feedback, or interacting with
the service in any digital format, you must not:

 

• post or submit content
that is illegal, hateful, defamatory, obscene or discriminatory.

• upload or transmit
viruses, malware, bots or harmful code.

• attempt to interfere with
or disrupt the operation of the platform.

• attempt to circumvent
security features or access areas you are not authorised to access.

• impersonate another
Member, staff member or partner.

• send unsolicited
communications, spam or promotional materials.

• engage in data scraping,
harvesting or unauthorised data collection.

 

Any breach of this clause may
result in:

 

• removal of your content.

• restriction of your account.

• cancellation of
your subscription.

• reporting to authorities
if required.

 

C. Conduct at Events

6.3 Event Behaviour



By attending any Balance event,
you must:

• comply with all Event
Terms & Conditions.

• behave respectfully and
follow staff guidance.

• use your own QR code and
not someone else’s.

• follow all health &
safety instructions provided by Balance staff or venue partners.

• refrain from behaviour that
could endanger yourself or others.

 

6.4 Alcohol, Substances &
Safety

We may refuse entry or ask you to leave an event if we reasonably believe that
you:

• are intoxicated.

• are under the influence
of drugs.

• pose a safety risk.

• are engaging in
disruptive or inappropriate conduct.

 

No refunds or compensation will
be provided if you are removed due to misconduct.

 

D. Misuse of Membership Benefits

 

6.5 Strictly Prohibited Misuse

You must not:

• share or sell
loyalty points.

• manipulate or
artificially generate giveaway entries.

• share screenshots of your
QR code.

• attempt to redeem
benefits that do not belong to you.

• duplicate, forge or
reproduce your QR code.

• misrepresent your
identity or eligibility.

 

6.6 Fraud or Attempted Fraud

Any suspected or confirmed misuse—including fake user accounts, fraudulent
entries, or misuse of loyalty points—may result in:

 

• immediate suspension or
termination of your subscription.

• loss of all loyalty points.

• voiding of giveaway entries.

• refusal of entry to Events.

• legal action if appropriate.

 

E. Community Standards

6.7 Respect for Staff &
Partners

We have a zero-tolerance approach to abuse or inappropriate behaviour towards:

 

• Balance staff.

• customer service teams.

• event hosts or instructors.

• external partners or venues.

 

 

Failure to comply may result in
immediate removal from the service.

6.8 Respect for Other Members

BalanceClub is a community. You must not:

 

• film or photograph other
Members at events without their consent.

• share another
Member’s information.

• behave in a way that
causes discomfort or harm to others.

 

F. Enforcement & Our Rights

 

6.9 Monitoring

We may monitor Member submissions, account activity and event conduct to
maintain a safe environment. This may include reviewing feedback entries,
flagged submissions or event attendance integrity.

 

6.10 Action We May Take

If we believe you have breached these Terms, we may take any of the following
actions without notice:

 

• remove or edit
Member Content;

• temporarily restrict
your account;

• deny you access
to Events;

• withhold
loyalty points;

• cancel
giveaway entries;

• suspend or terminate
your account;

• refuse
future membership;

• inform venue partners or
authorities if required.

6.11 No Refunds for Breach



If your membership is restricted
or terminated due to misconduct or breach of these Terms, you will not be
entitled to a refund or compensation for any unused portion of your
subscription.

 

SECTION 7 — User-Generated
Content (UGC) .

BalanceClub encourages
Members to share feedback, experiences and insights to help us improve the
service and to participate in monthly giveaways. To protect both you and the
Balance community, the following terms apply to all content you submit.

 

A. Definition of User-Generated
Content

7.1 What Counts as UGC



“User-Generated Content” or “UGC” includes any content you upload, submit,
post, or provide to us through the Balance platform or in connection with the
Subscription Service. This includes:

• reviews, comments
or feedback.

• written submissions
for giveaways.

• event reviews or
follow-up notes.

• suggestions, ideas or
feature requests.

• images or video
voluntarily submitted to us.

• responses to surveys or
wellness check-ins.

• any materials you upload
to your profile (if applicable).

 

UGC does not include information
collected under our Privacy Policy (which is governed separately).

 

B. Responsibility for Your
Content

7.2 You Are Responsible for Your
UGC

You confirm that:

 

• your UGC is your own
original work, or you have the right to submit it;

• your UGC does not
infringe any intellectual property rights;

• your UGC is accurate,
honest, and not misleading;

• your UGC complies with
all laws and regulations.

 

 

You accept full responsibility
for any harm or liability arising from your UGC.

 

C. Acceptable Content
Requirements

7.3 Prohibited Content



You must not submit UGC that:

• contains hateful,
discriminatory, abusive or threatening material;

• is defamatory, obscene
or harassing;

• includes personal
information belonging to someone else;

• impersonates
another person;

• promotes violence,
illegal activity, or self-harm;

• contains viruses,
ransomware, malware or harmful code;

• includes advertising or
commercial promotion;

• is submitted with
fraudulent intent (e.g., creating fake accounts for giveaways).

We operate a zero-tolerance
policy for harmful or abusive content.

7.4 Rights to Use Your UGC

By submitting UGC, you grant Wellbeing Places Limited a:

• worldwide,

• royalty-free,

• non-exclusive,

• perpetual,

• irrevocable,

• transferable,

• sub-licensable

licence to use your UGC for any
lawful purpose connected to BalanceClub, including:

• improving the service.

• content development.

• customer insight.

• promotional materials.

• marketing and brand communications.

• social media content.

• event or prize announcements.

• testimonials.

• internal staff training.

You waive any moral rights you
may have in your UGC, where permitted by law.

 

E. Moderation & Removal

7.5 Our Moderation Rights

We may, at our discretion:

 

• moderate, review or
screen UGC before or after submission.

• remove, hide or edit UGC
for any reason.

• refuse to publish UGC
that breaches these Terms.

• remove UGC without giving
reasons or notice.

 

We do not guarantee that we will
moderate all UGC, nor do we undertake a duty to monitor continuously.

 

7.6 Reporting Content

If you believe any UGC violates these Terms or infringes your rights, you may
notify us at:

support@balanceclub.uk (or the designated address in
your Member area).

We will review your report and
act appropriately.

 

F. UGC and Monthly Giveaways

 

7.7 Eligibility Requirements

Certain giveaways require you to submit UGC—such as a review or monthly
check-in—before the cut-off date.

You understand and agree that:

• your UGC must comply with
these Terms to count as an entry;

• fraudulent, duplicate or
ineligible UGC will void your entry;

• submitting UGC does not
guarantee a prize;

• we may use UGC submitted
for giveaway entry for service improvement and promotional purposes.

 

7.8 Random Selection

Where giveaways involve UGC submission, your feedback will never be judged or
scored.

Winners are selected at random from eligible entries.

 

G. Use of Images or Video
Submitted by You

7.9 Voluntary Submissions Only

If you voluntarily submit photos or videos to Balance or tag us on social
platforms, you confirm that:

• you are the owner of
the content.

• everyone who appears in
the content has given permission.

• We may use it under the
licence in clause 7.4.

 

We will always ask for
additional consent before using identifiable imagery in wider marketing
campaigns.

 

H. Your Privacy

7.10 UGC vs. Personal Data



These UGC terms apply to content you intentionally submit for publication or
feedback purposes.

Your personal data (email,
address, health indications, etc.) is handled strictly under our Privacy Policy
and is not treated as UGC unless you explicitly publish it.

 

I. Survival of This Section

 

7.11 Continued Application After
Termination

The licence you grant under this Section 7 continues even if:

• your subscription ends,

• your account is closed,

• You stop using the
service.

 

SECTION 8 —
Events Terms .

BalanceClub Events are
curated to bring Members together through movement, learning, connection and
wellbeing experiences. These terms apply to all live, in-person or
partner-hosted events (“Events”) offered as part of your subscription.

 

A. Event Access &
Eligibility

 

8.1 Member-Only Access

Events are exclusively for active BalanceClub Members unless
otherwise stated.

You must have:

• an active, paid-up
membership, and

• your personal Balance QR
code.

 

8.2 QR Code Check-In

Your QR code is your digital event ticket.

By scanning your QR code at an
Event, you confirm you agree to:

• these Event Terms.

• any Event-specific
conditions shown at booking.

• venue rules and safety
requirements.

 

Sharing or lending your QR code
is strictly prohibited.

 

8.3 Capacity & First-Come
Allocation

Most Events have limited capacity. Admission is offered on:

• a first-come,
first-served basis, or

• pre-booking basis (where
specified).

We cannot guarantee a place at
every Event.

 

B. Event Bookings &
Attendance

 

8.4 Booking Requirements

Some Events require advance booking. Bookings must be made via:

• your
Balance account;

• a link provided in the
Member dashboard; or

• the partner venue’s
booking portal (where applicable).

8.5 Confirmation of Attendance



Your booking is confirmed only
once you receive a confirmation email or booking message.

 

8.6 Arrival & Late Entry

You must arrive at the time stated.

We may refuse late entry to ensure safety or minimise disruption.

 

 

C. Event Changes, Cancellations
& Rescheduling

8.7 Our Right to Change Events



We may alter, postpone, or
cancel an Event at any time for reasons including:

• venue availability;

• instructor illness;

• safety concerns;

• adverse weather (for
outdoor events);

• partner cancellation.

 

Where possible, we will notify
you with as much notice as reasonably practicable.

 

8.8 Your Right to Cancel

You may cancel your place at any Event but:

• no refunds apply
(membership benefits come as a bundle);

• repeated no-shows without
cancellation may affect future eligibility.

8.9 Rescheduling



If an Event is rescheduled, your
booking will typically transfer to the new date.

If you cannot attend the new date, this does not entitle you to compensation.

 

D. Conduct at Events

 

8.10 Expected Behaviour

You must behave respectfully and follow all instructions from Balance staff or
venue partners. This includes:

• complying with health
& safety procedures;

• using
equipment responsibly;

• refraining from
disruptive or inappropriate behaviour.

8.11 Photography & Filming



You must not:

• take photos or videos of
other attendees without their consent.

• record the instructor or
the session unless expressly allowed.

 

Balance may photograph or film
Events for marketing purposes.



We will make reasonable efforts
to inform attendees in advance.

If you do not wish to appear in
promotional material, please notify staff on arrival.

 

E. Health, Fitness & Safety

8.12 Health Declaration



By attending an Event, you
confirm that you:

• are fit and able to
participate safely.

• have no medical condition
that would make participation unsafe;

• will stop immediately if
you experience pain, dizziness or discomfort.

Balance staff cannot provide
medical advice.

Seek professional advice before participating if you are unsure of your
suitability.

 

8.13 Assumption of Risk

You participate in Events at your own risk.

We are not liable for injuries or issues arising from:

• improper use of equipment.

• failure to follow instructions.

• underlying medical conditions.

• unsafe behaviour by
attendees.

 

We do not exclude liability for
negligence where it cannot be legally excluded.

 

8.14 Venue Rules

You must comply with all venue instructions, including:

• check-in procedures.

• safety briefings.

• equipment rules.

• age restrictions.

• clothing/footwear
requirements.

Failure to comply may result in
refusal of entry.

 

F. Partner-Hosted Events &
External Venues

8.15 Third-Party Providers



Some Events are run by external
providers. Where this applies:

• We act as
introducers only.

• The partner is
responsible for the delivery of the session.

• Their terms may apply in
addition to ours.

8.16 Partner Liability



Balance is not responsible for:

• the safety or condition
of partner venues.

• the conduct of
third-party staff.

• the fulfilment or quality
of partner-hosted experiences.

 

Any issues with a partner must
be raised directly with them unless otherwise stated.

 

G. Alcohol, Substances &
Behavioural Issues

8.17 No Alcohol or Drugs

You may be refused entry or removed from an Event if:

• you are intoxicated;

• under the influence
of drugs;

• acting aggressively,
abusively or unsafely.

 

8.18 Immediate Removal



We reserve the right to remove
you from any Event without refund if your conduct poses a risk to yourself,
other attendees, staff or partners.

Repeated misconduct may result
in termination of your membership.

 

H. Liability

 

8.19 Our Liability to You

We are responsible for:

• foreseeable loss caused
by our negligence.

• failing to provide
services with reasonable care and skill.

• any liability that cannot
be excluded by law.

We are not liable for:

• personal items lost or
stolen at Events.

• injuries caused by
failure to follow instructions.

• injuries caused by
ignoring medical advice.

• actions of third-party
instructors or venues.

 

SECTION 9 — Giveaways &
Competitions Terms .

BalanceClub runs monthly
giveaways as part of your membership benefits. These terms apply to all prize
draws, competitions and promotions offered through the Subscription Service
(“Giveaways”).

 

A. Eligibility

9.1 Member Eligibility

To enter any Giveaway, you must:

• be an active,
paid-up BalanceClub Member at the time of entry.

• hold an active
Balance account.

• be a UK resident aged 18
or over.

9.2 One Entry Per Member



Unless otherwise stated, each
Member may submit one entry per Giveaway.

 

9.3 No Purchase Necessary Beyond
Membership

Giveaways form part of the subscription bundle. No additional purchase is
required.

 

9.4 Exclusions

You may not enter if you are:

• a Balance or Wellbeing
Places employee.

• directly involved in
creating or administering the Giveaway.

• a family member of any
person described above (at our discretion).

• be honest, genuine and

9.7 Disqualified Entries

We may disqualify entries that:

times using fake or duplicate accounts.

• violate the Acceptable

C. Winner Selection

Winners are selected at random
from all eligible entries using a fair and verifiable process compliant with
the UK CAP Code.

 

9.9 No Judging of Feedback



Feedback content submitted
for an entry is not scored or evaluated.



It is the act of providing
genuine feedback that qualifies you for the draw.

Unless otherwise stated, there will be 1 winner per month.

 

9.11 Notification

Winners will be contacted via the email registered to their Balance account
within 5 working days of the draw.

If the winner cannot be reached
after two attempts within 7 days, we may select another winner.

vendors, typically provided as a gift card, credit, or digital voucher.

9.13 No Cash Alternative

There is no cash alternative.

Prizes are non-refundable, non-transferable and cannot be exchanged.

If a particular prize or partner is unavailable, we reserve the right to
replace it with an alternative of equal or greater value.

 

E. Partner Terms &

If a prize is lost in transit or not received:

Exercise, fitness and nutrition content is general information only.

It is not medical advice and must not be treated as such.

 

10.4 Health Responsibility

By using the Service, you confirm you are fit and able to participate safely.

You must not take part in any
Balance or partner activity if you:

• have been advised not
to exercise.

• have any medical
condition that may be affected by physical activity.

• are pregnant (unless the
content is explicitly pregnancy-safe);

• have injuries that may be
aggravated.

10.5 Your Duty to Assess Risk

You are responsible for:

• assessing your own
fitness level.

• stopping any activity
immediately if you feel discomfort, pain or dizziness.

• taking medical advice
before starting any new exercise programme.

10.6 No Liability for
Pre-Existing Conditions



We do not accept liability for
injuries resulting from:

• unsafe environments in
your home.

Balance provides members with

10.12 Partner Responsibility

We are not responsible for:

• the actions of
partner venues;

• the safety of
their premises;

• any injury, dissatisfaction
or loss you experience during a partner activity;

• cancellations or delays

10.13 Partner Terms Apply

You must comply with any partner rules, including:

• minimum age.

• physical or skill requirements.

Availability

Partners or discounts may change without notice.

You may only hold one active BalanceClub subscription per individual
account.

 

B. Billing Cycle & Automatic
Renewal

 

11.4 Monthly Billing

Subscriptions are billed monthly in advance on the date you first subscribed.

Example:

If you subscribed on the 12th, you will be charged on the 12th of each month
thereafter.

 

11.5 Automatic Renewal

Your subscription automatically renews each month unless cancelled.

By subscribing, you agree to:

• recurring monthly
charges,

• automatic billing via
your chosen payment method.

This continues until you cancel your subscription.

 

C. Payment Methods

 

11.6 Accepted Methods

We accept payment through Shopify-approved processors (e.g., Stripe, PayPal,
Apple Pay, Google Pay).

You must maintain an active, valid payment method.

 

11.7 Failed Payments

If we are unable to take payment, we may:

• retry the payment several
times,

• ask you to update your
payment method,

• pause your membership
benefits,

• Terminate your
subscription if payment is not received.

We are not responsible for:

• bank charges.

• overdraft fees.

• exchange or conversion
fees applied by your bank.

 

D. Price Changes

We will give you at least 30 days’ notice by email before any price increase

F. Cancellation by You

You can cancel your subscription at any time through your Balance account page
or by contacting Customer Support.

 

11.14 Effect of Cancellation

When you cancel:

• you will continue to have
access until the end of your current billing period;

• no refunds are issued for
partial months or unused benefits (unless required by law).

 

11.15 Rejoining

If you cancel and later rejoin, your new subscription may be subject to updated
pricing or revised terms.

 

G. Cancellation by Us

We may suspend or terminate your subscription if:

• you breach these Terms.

• payment repeatedly fails.

• you misuse events,
discounts, or community features.

• fraudulent or suspicious
activity is detected.

 

11.17 Refunds on Cancellation by
Us

If we cancel your subscription without cause, we will refund the unused portion
of your current month.

No refund is given if we cancel due to your breach or misconduct.

 

H. Refunds

Refunds

Under the Consumer Contracts Regulations, digital subscription services that
begin immediately are not refundable once access has been granted, unless:

 

• we fail to supply
the service.

• the service is
significantly defective.

If you believe you have been incorrectly charged, contact Customer Support.

If an error occurred, we would correct it and issue a refund where

I. Upgrades, Downgrades &

If available, downgrades take effect at the start of your next billing cycle.

Commercial Use

Subscriptions are personal and may not be:

• resold.

Balance subscriptions are for personal use only and may not be used for
commercial training, coaching, or resale purposes.

 

K. Suspension for Misuse or
Breach

We may temporarily restrict account access if:

• unusual account behaviour
is detected;

• policies
are breached;

• fraudulent activity is
suspected.

 

11.26 No Compensation

Suspension does not entitle you to compensation or refund unless the suspension
is our fault.

 

SECTION 12 — Events, Attendance
& QR Check-In Terms.

BalanceClub Members may be
invited to attend events including fitness sessions, social meetups,
wellness workshops, partner experiences, product launches, or similar
(“Events”). These terms apply to all Events organised or managed by Balance,
Wellbeing Places, or its partner venues.

 

A. Event Access &
Eligibility

12.1 Subscription Requirement

To attend a Member Event, you must have:

• an
active BalanceClub subscription;

• a valid
event booking;

• completed any required
confirmation steps.

 

12.2 Tickets & Capacity

Event spaces are limited. Registration is accepted on a first-come,
first-served basis.

 

12.3 One Booking Per Member

Unless otherwise stated, you may hold one place per Event.

 

12.4 Age Restrictions

Unless expressly noted otherwise, events are for 18+ only.

 

12.5 Identity Verification

You must present the QR code from your Balance account on arrival.

We may request ID to verify membership.

 

B. QR Check-In & Event Entry

12.6 QR Code Requirement

Entry to Events requires scanning your personalised QR code.

The QR code confirms that you:

• accept the
Event Terms;

• acknowledge the relevant
safety notices;

• agree to venue rules.

 

12.7 No Code, No Entry

If you cannot show a valid QR code, we may refuse entry.

 

12.8 Check-In Window

Members may be required to check in within a designated timeframe.

Late arrivals may be refused entry where the venue or activity requires
punctuality.

 

C. Behaviour, Conduct &
Safety

 

 

12.9 Behaviour Expectations

Members must always behave respectfully and professionally.

We may refuse entry or ask you to leave if you:

 

• behave in a disruptive,
abusive or unsafe manner;

• act in a way that risks
harm to yourself or others;

• attend under the
influence of alcohol or drugs;

• cause damage to property
or equipment.

 

12.10 Zero Tolerance for Abuse

Abusive behaviour towards staff, partners or other attendees may lead to:

• immediate removal from
the Event.

• suspension of your membership.

• permanent cancellation of
your membership.

 

12.11 Venue Rules

You must comply with all venue-specific rules, including health & safety,
dress codes, equipment rules and any instructions from venue staff.

 

D. Health, Fitness &
Physical Activity Disclaimer

 

12.12 Participation at Your Own
Risk

Certain Events involve physical activity (e.g., padel, Pilates, workouts,
movement-based classes).

By attending, you confirm you:

• are physically able
to participate.

• will stop immediately if
you experience discomfort or pain.

• will seek medical advice
if unsure about your ability to participate.

12.13 Pre-Existing Conditions

If you have any medical conditions, injuries, or health concerns, you must
consult a medical professional before attending.

 

12.14 Not Supervised Training

Unless explicitly stated, Events are not personalised training sessions.

 

12.15 No Liability for Unsafe
Environments

Balance is not responsible for:

• accidents resulting from

You earn loyalty points automatically each month while your subscription is
active.

The number of points earned per month may vary and will be displayed in your

18.2 Birthday Points

If you provide your date of birth, we will award birthday points in the month
of your birthday.

You must provide this information at least 30 days before your birthday month
to receive points that year.

 

18.3 Event Check-In Points

When you attend eligible Balance events and scan your QR code on entry, you may
earn additional points.

Points are awarded only if:

• you have an active
subscription,

• you check in using your
unique QR code,

• the event qualifies for
loyalty rewards.

 

18.4 Engagement Points
(Reviews/Feedback)

You may earn points by submitting genuine reviews, check-ins, or monthly
feedback.

Points are awarded per our rules and cannot be earned by:

• duplicate submissions,

• automated or AI-generated
content without disclosure,

• copied or repeated

If Balance introduces products or paid services, you may receive points for
eligible purchases.

20.3 Failure to Check-In

If you do not check in using your QR code, we may:

• refuse entry,

• record you as a “no

At all Events, you must behave in a respectful, safe and appropriate manner.

Attending an Event under the influence of alcohol or drugs is prohibited unless

You are responsible for your own belongings at all times.

Balance is not liable for lost, stolen or damaged items.

 

C. Health, Safety & Physical
Activity

 

20.8 Health Self-Assessment

Some Events involve physical activity (e.g. Padel, Pilates, group workouts).

By attending, you confirm that:

• you are in suitable
physical condition,

• you have no medical
concerns that make participation unsafe,

• you take part voluntarily
and at your own risk.

 

20.9 You Must Follow Safety
Instructions

You must follow all instructions from Balance staff, partners or venue
personnel.

 

20.10 Injury Disclaimer

We are not responsible for injuries caused by:

• your own actions,

• failure to follow
instructions,

• misuse of equipment,

• pre-existing conditions,

• conduct of other
participants.

Nothing in these terms excludes
liability where the law does not allow it.

 

D. Venue Partners &
Third-Party Providers

 

20.11 Third-Party Venues

Many Events are delivered by partner studios, hotels, clubs, instructors or
venues.

Their own rules, waivers and terms may apply in addition to these Terms.

 

20.12 Balance Not Responsible
for Partner Services

We are not responsible for:

• the safety of partner premises,

• staff behaviour at
third-party venues,

• equipment maintenance,

• fulfilment of their
services or experiences,

• cancellations or changes
made by partners.

Any issues with partner venues
must first be raised with the venue directly.

 

20.13 Liability Limits

Except where the law requires otherwise, we are not liable for:

• partner cancellations,

• schedule changes,

• lost deposits or booking
fees charged by partners,

• travel or additional
costs associated with attending Events.

 

E. Event Changes, Cancellations
& No-Shows

We may modify, reschedule or cancel Events for reasons including:

• completing feedback,

B. Points Have No Cash Value

You are responsible for keeping your login details secure. Points lost through

From time to time, we may offer free or discounted trial periods.

 

24.9 Automatic Billing After
Trial

If you do not cancel before the end of a trial, your Subscription will convert
into a paid monthly plan automatically, and your payment method will be
charged.

 

24.10 One Trial per Person

Free trials may be limited to one per person or household.

 

D. Price Changes

 

24.11 Right to Change Pricing

We may change subscription pricing from time to time for operational, business
or regulatory reasons.

 

24.12 Notice of Price Changes

If we change the price, we will provide reasonable advance notice by:

• in-app notification,

• or by updating the
Website.

Notice will normally be given at
least 30 days before new pricing takes effect.

 

 

24.13 You May Cancel if You Do
Not Agree

If you do not accept the new price, you may cancel your Subscription before the
change takes effect.

Continued use of your
Subscription after the change means you accept the new pricing.

 

E. Changes to Subscription

We may add, change or remove features, benefits or content included in your
Subscription.

These may include:

• loyalty points
adjustments,

• resource updates,

• event formats,

• access levels,

• platform functionality.

24.15 Material Changes

For “material” changes that meaningfully reduce the overall value of your
Subscription, we will give you advance notice.

 

24.16 No Guarantee of Specific
Features

Your Subscription gives access to the service.

Individual features are not guaranteed and may be changed without compensation.

 

F. Payment Methods

 

24.17 Accepted Payment Methods

We may accept payments via:

• debit or credit card,

• Apple Pay / Google Pay,

• third-party providers
used by Shopify (e.g. Stripe).

 

24.18 Up-to-Date Payment
Information Required

You must ensure that your payment method details remain accurate and valid.

If your payment method expires
or is declined, your Subscription may be paused or cancelled.

 

G. Promotional Pricing &
Discounts

 

24.19 Limited-Time Offers

Promotional or introductory pricing may apply only for a specified period.

After this period, your Subscription renews at the standard price unless
otherwise stated.

 

24.20 No Price-Matching

We do not offer price-matching on previous Subscription fees or promotional
rates.

 

SECTION 25 — Cancellation &
Termination of Membership.

Your BalanceClub membership
(“Subscription”) continues until cancelled. This section explains how you and
Balance may end the Subscription.

 

A. Your Right to Cancel

25.1 You Can Cancel at Any Time

You may cancel your Subscription at any time through your Balance account
settings or by contacting us using the details provided in Section 2.

25.2 Effect of Cancellation

When you cancel:

• your Subscription remains
active until the end of your current billing period,

• you will not be charged
again,

• no partial refunds are
provided unless required by law.

Access to Subscription features
(events, discounts, resources, loyalty points) ends at the end of your final
billing period.

 

B. Cooling-Off Period (Your
Legal Right to Cancel)

25.3 14-Day Cooling-Off Period

Under the Consumer Contracts Regulations, you have 14 days from the date you
first subscribe to cancel for a full refund.

25.4 Immediate Access = Limited
Refund

If you choose to access any Subscription benefits during the 14-day cooling-off
period, including:

• loyalty points,

• resources
(workouts/nutrition),

• early-access discounts,

• event bookings,

• giveaways,

you agree that:

You receive “digital content” and “services”
immediately, and therefore Balance may deduct a proportionate amount for the
services already provided.

In most cases, this means your right to a full
refund ends once Subscription benefits are accessed.

25.5 How to Exercise Your Cooling-Off Right

You may cancel using:

• the online cancellation
function,

• email,

• or by using the model
cancellation form in Section 3 (Part 3).

 

C. Refunds

25.6 When Refunds Are Issued

Refunds are issued only when:

• cancellation occurs
during the lawful cooling-off period and you have not
accessed any Subscription benefits, or

• required by consumer law
due to a fault or service failure.

 

25.7 No Refunds for Part-Month
Usage

Balance does not provide partial or pro-rata refunds for unused days or months
after your billing cycle begins.

 

D. Termination by Balance

Balance may suspend or terminate
your Subscription immediately if:

 

25.8 Breach of Terms

You breach any provision of these Terms, including:

• misuse of discounts or
loyalty points,

• fraudulent activity,

• abusive behaviour at
events,

• sharing account access,

• uploading harmful or
prohibited content.

 

25.9 Payment Failure

If your payment method fails and you do not update it after reasonable attempts
to contact you.

 

25.10 Misuse or Fraud

We detect:

• multiple accounts created
to gain benefits,

• attempts to manipulate
giveaways or discounts,

• automated behaviour
breaching security,

• misuse of QR check-in
systems at events.

 

25.11 Harmful Conduct

We may terminate your membership if you act in a way that:

• endangers staff or other
members,

• damages property or
partner venues,

• brings Balance or its
community into disrepute.

25.12 Illegal or Dangerous
Activity

Membership may be terminated immediately if you are found engaging in illegal,
offensive or dangerous behaviours at Events or within the platform.

 

E. Effect of Termination by
Balance

 

25.13 Loss of Access

If Balance terminates your Subscription due to breach or misuse, you will lose
access immediately and are not entitled to a refund.

 

25.14 Forfeiture of Loyalty
Points

All unused loyalty points are automatically forfeited on cancellation or
termination.

 

25.15 Forfeiture of Entries

Any existing entries into Giveaways become void.

 

F. Reactivation

 

25.16 Reactivating Your
Subscription

If your Subscription ends due to payment failure, you may reactivate it by
updating your payment details.

 

25.17 New Price May Apply

If you rejoin after cancellation, your new Subscription may be charged at the
then-current price, not your previous rate.

 

G. Data Retention After
Cancellation

 

25.18 Account Data

We retain your account information in accordance with our Privacy Notice.

You may request deletion of personal data where legally permitted.

 

25.19 UGC Access

User-Generated Content (UGC) created before cancellation (e.g., reviews or
feedback submissions) may remain visible unless you request removal where
applicable.

 

H. Ending the Subscription
Programme

 

25.20 Balance May End the
Membership Scheme

We may discontinue the BalanceClub Subscription offering for business
or operational reasons.

Where reasonable, we will give advance notice and may offer a pro-rata refund
for any period already paid for but not delivered.

 

SECTION 26 — Intellectual
Property & Brand Protection .

Balance is a trading style of
Wellbeing Places Ltd. All intellectual property rights in the Balance brand,
platform, content and materials are owned or licensed by Wellbeing Places Ltd.

 

 

A. Ownership of Intellectual
Property

 

26.1 Who Owns the Rights

All content available through BalanceClub, the Website and Subscription
(collectively, “Balance Content”), is owned by:

• Wellbeing Places Ltd, or

• our licensors (such as
PTs, nutritionists, creators, photographers, videographers).

 

Balance Content includes:

• workouts, videos,
training guides, movement sequences

• nutrition content,
recipes, meal ideas

• written articles,
wellbeing guidance, event materials

• product imagery,
photography, graphics, logos

• digital downloads, PDFs,
resources

• the Balance name, logo,
brand assets and trademarks

• QR codes, event tickets,
and digital passes

• all software, code, user
interface, design and layout

All rights are reserved.

 

B. Personal Use Licence (What
You Are Allowed to Do)

 

26.2 Personal, Non-Commercial
Use Only

Balance grants you a limited, revocable, non-exclusive licence to access and
use Balance Content for personal, private, non-commercial use only, while you
have an active Subscription.

 

26.3 No Transfer of Rights

This licence is:

• non-transferable,

• non-sublicensable,

• conditional on compliance
with these Terms.

You do not acquire ownership of
any part of the Balance Content.

 

C. Prohibited Use (What You
Cannot Do)

26.4 You Must Not:

• copy, reproduce, store or
download Balance Content (other than for temporary personal viewing);

• share, repost, upload,
transmit or distribute Balance Content on any platform;

• use Balance Content for
commercial purposes, including coaching, training or classes;

• replicate, scrape,
extract or mine Balance Content (including training materials, code or data);

• use any Balance images or
video on your own social media, website, or marketing without permission;

• remove or alter copyright
notices, trademarks or branding;

• use Balance branding,
artwork, videos or logos without written consent;

• reverse engineer,
disassemble or attempt to replicate any part of the platform, system, QR code,
or app functionality;

• use Balance Content to
develop competing wellness, fitness, nutrition or subscription services.

26.5 Automated Access Prohibited

You must not:

• crawl, scrape, mine or
index the Website or Content,

• use bots, scripts or
automated tools to access or extract Content,

• train AI models on
Balance Content unless permitted by law and explicitly authorised by us.

 

D. Trademarks and Brand Identity

 

26.6 Balance Trademarks

“Balance”, “BalanceClub”, and all related names, logos, designs and branding
(“Balance Marks”) are trademarks or unregistered marks of Wellbeing Places Ltd.

 

26.7 Third-Party Marks

Where partner or contributor branding appears (e.g., PTs, nutritionists, event
partners), those marks remain the property of their respective owners.

 

26.8 No Permission Without
Consent

You may not use any Balance Marks without our written permission.

 

E. User-Generated Content (UGC)

 

26.9 Licence Granted to Balance

When you submit any content (feedback, reviews, images, video, comments), you
grant Balance a licence under Section 14.

 

26.10 No Ownership of UGC by
Balance

Balance does not claim ownership of your personal UGC, but your UGC must
not incorporate or reproduce Balance Content or branding without permission.

 

F. Reporting Intellectual
Property Concerns

 

26.11 Reporting Infringement

If you believe any content on the Website infringes your intellectual property
rights, please contact us using the details in Section 2.

 

26.12 Action We May Take

Balance may:

• remove
infringing content,

• suspend
accounts,

• pursue
legal action where appropriate.

 

G. Consequences of Breach

 

26.13 Termination of Licence

If you breach this section:

• your
licence to use Balance Content ends immediately,

• your
Subscription may be suspended or terminated (see Section 25),

• we
may take legal action to protect our rights.

 

26.14 Reimbursement of Losses

You may be required to reimburse us for any loss, damage, or costs arising from
your breach.

 

SECTION 27 — General Legal
Terms 

 

 

27.1 Entire Agreement

These Terms, together with any
documents expressly referred to in them, constitute the entire agreement
between you and Wellbeing Places Ltd regarding your use of the Website, your
Subscription and all related services.

You confirm that you have not
relied on any statement, representation or promise not expressly setout in
these Terms.

Nothing in this clause limits
liability for fraud or fraudulent misrepresentation.

 

27.2 Changes to These Terms

We may update or amend these
Terms from time to time.

Where the changes materially affect your Subscription, we will give reasonable
prior notice.

Your continued use of the Subscription constitutes acceptance of the updated
Terms.

 

27.3 Assignment

You may not transfer or assign
your rights or obligations under these Terms.

We may transfer or assign our
rights or obligations to another organisation (for example, if we restructure
our business or transfer the Balance brand).

We will notify you if this happens and ensure the transfer does not materially
reduce your rights.

 

27.4 Waiver

If we do not immediately enforce
any part of these Terms, this does not mean we waive our rights to enforce them
later.

A waiver is only valid if made
in writing.

 

27.5 Severability

If any part of these Terms is
found by a court to be unlawful, invalid or unenforceable, that part will be
removed and the rest of the Terms will continue in full force.

 

27.6 Force Majeure (Events
Outside Our Control)

We are not responsible for any
delay or failure to perform our obligations under these Terms where such delay
or failure is caused by events outside our reasonable control, including:

• strikes,
staff shortages or labour disputes

• pandemics,
epidemics or public health restrictions

• fire,
flooding, extreme weather or natural disasters

• power
outages or utility failures

• internet
or telecommunications failures

• acts
of terrorism or criminal activity

• legal
or regulatory changes affecting our ability to operate

• failure
of third-party platforms, apps or payment providers

If such an event occurs, we will
take reasonable steps to minimise the impact.

 

27.7 Notices

Notices to us must be sent to
the contact details provided in Section 2.

Notices to you may be sent by:

• email,

• SMS
(if provided),

• via
your account dashboard,

• or
via updates on the Website.

Notices are deemed received when
sent (unless proved otherwise).

 

27.8 No Third-Party Rights

These Terms are between you and
Wellbeing Places Ltd.

No other person has rights to enforce any term under the Contracts (Rights of
Third Parties) Act 1999.

 

27.9 Survival

The following sections continue
after termination of your Subscription:

These Terms are governed by the
laws of England and Wales.

You may bring legal proceedings
in the courts of England and Wales.

If you live in Scotland or Northern Ireland, you may bring proceedings in your
local courts.
